IVYAI LEGAL
Terms of Service
The terms for UK businesses using IvyAI to manage online bookings.
Effective: 23 August 2026
1. Who we are
IvyAI is provided by IvyAI Ltd, company number 17388323, registered in England and Wales. Our registered office is 34 Cedars Drive, Stone, Staffordshire, ST15 0BB. Contact us at support@ivyai.co.uk.
2. Agreement and eligibility
By creating an account or using IvyAI, you agree to these Terms, our Privacy Policy, Acceptable Use Policy and, where we process customer personal data for you, our Data Processing Agreement. You must be at least 18, be based in the United Kingdom and have authority to bind the business you register.
3. The service and your responsibilities
IvyAI provides booking pages, availability, customer and appointment management, and related communications. You remain responsible for your business, services, prices, availability, customer communications, consumer-law obligations, tax, professional requirements and the accuracy of information you publish.
You must protect account credentials, keep authorised-user access current and tell us promptly about suspected unauthorised access. You are responsible for activity under your account unless caused by our failure to use reasonable care.
4. Free service and future paid services
The V1 service is currently provided without a subscription charge. We may introduce optional or paid plans in future. We will give clear notice of applicable prices and obtain agreement before charging. We will not charge a payment method merely because you use the current free service.
5. Availability and changes
We provide the service with reasonable skill and care and aim for reliable availability, but uninterrupted or error-free operation is not guaranteed. Maintenance, security events, provider failures and circumstances outside reasonable control may affect access. We may make proportionate changes to maintain, secure or improve the service and will give reasonable notice of material adverse changes where practical.
6. Prohibited sensitive information
Administrative information only. Do not enter medical, clinical or other sensitive personal information.
IvyAI V1 is not an electronic health record or clinical records system. You must not enter special category data, medical histories, diagnoses, clinical notes, treatment records or similarly sensitive information in booking messages, customer notes or administrative fields.
7. Content and intellectual property
You retain ownership of business content you provide. You grant us a limited licence to host, copy, display and process that content only as needed to provide, secure and support IvyAI. IvyAI and its underlying software, branding and documentation remain owned by IvyAI Ltd or its licensors. Feedback may be used to improve the service without identifying you or your customers.
8. Suspension and account lifecycle
We may restrict or suspend access where reasonably necessary to address security, unlawful use, serious breach, risk to other users or legal requirements. Where practical, we will explain the reason and allow a remedy.
You may request closure at any time. Our intended lifecycle is: active account, then a closed or read-only period of up to 30 days for export, dispute handling and recovery, followed by deletion processing under our retention schedule. Deletion is not currently fully automated and may require a verified support request. Legal holds, backups and records required by law may be retained for limited periods.
9. Liability
Nothing excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, business or anticipated savings, except where such exclusion is unlawful.
The financial limitation of liability applicable to paid services will be stated in the applicable order, plan or additional terms before purchase. Nothing in these Terms limits liability where limitation is prohibited by law.
10. Ending these Terms
You may stop using IvyAI and request account closure. We may terminate for a material breach that is not remedied within a reasonable period, or immediately for serious security, fraud or unlawful-use risks. Clauses intended to survive termination, including intellectual property, confidentiality, data protection and liability provisions, will continue.
11. General
If a provision is unenforceable, the remaining provisions continue. Delay in enforcing a right is not a waiver. You may not transfer these Terms without our consent. We may transfer them as part of a genuine business reorganisation or sale, provided your rights are not materially reduced. These Terms do not create rights for third parties.
12. Law and courts
These Terms and any non-contractual dispute are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory law provides otherwise.
